The Senior Counsel, Commercial role is based in New York and will play a significant role in Fireblocks’ continued growth in the Americas financial markets. This role will focus on commercial contracting and will work as part of the broader legal team supporting the business globally. You will work closely with the Americas Sales and Customer Success Teams on strategic client matters. Your experience will make you a persuasive and effective advisor to both management and your clients.

You will work with business partners in a dynamic and fast-paced environment driving meaningful impact. You should be comfortable working in a technical, software development environment alongside product, security, finance, sales, and marketing professionals.

Responsibilities

  • Focus on some of our largest commercial transactions in support of our SaaS services. You will be drafting and negotiating a wide variety of contracts with the leading financial institutions of the world, including MSAs, SaaS agreements, SOWs and NDAs.
  • Own the review cycle from drafting and negotiation through closure.
  • Structure and negotiate risk allocation and regulatory compliance provisions calibrated to each transaction.
  • Use AI tools to streamline complex reviews; refine legal templates and processes; create sales training and enablement materials.
  • Identify potential risk and recommended mitigants in commercial transactions for escalation to senior leadership.
  • Partner with procurement on high-risk vendor contract reviews.
  • Support due diligence processes involving material commercial contracts.
  • Advise stakeholders on the legal risks, business strategies, and other product and regulatory issues related to commercial transactions and general operations.

Required Skills

  • 8+ years experience at a top-tier law firm and/or in-house at a technology company
  • Experience negotiating complex software or SaaS transactions
  • Background in the financial services, fintech, blockchain, cybersecurity, or crypto industries, preferred
  • J.D. or LL.B accredited from a law school, with active membership in good standing of a U.S. state bar; New York admission (or eligibility to register as in-house counsel in New York) preferred
  • Proficiency in managing competing priorities in a high-pressure environment
  • Demonstrated ability to use AI tools to create efficiencies within legal workstreams
  • Experience as a team player who enjoys partnering with cross-functional teams to solve issues and work collaboratively to generate consensus across diverse points of view

We operate on a hybrid work model with three days per week in office, enabling our teams to benefit from face-to-face collaboration while maintaining flexibility.

It is not typical for a candidate to be hired at or near the top of the pay range and each compensation decision is dependent on each individual case. A reasonable base salary range estimate for this position is $195,000 to $240,000. The base salary is one component of the total compensation package, which for some roles may include a target bonus, a very competitive equity grant, and very generous benefits.

JOB SUMMARY:

The Paralegal Specialist plays a crucial role in supporting Textron Aviation’s diverse litigation docket covering product liability, commercial, employment, and transactional matters including discovery, investigations, matter management, scheduling, and supporting in-house and outside counsel through all phases of litigation and dispute resolution. JOB RESPONSIBILITIES:

  • Receive, review, and prepare draft responses and proposed objections to discovery requests.
  • Assist in-house attorneys with managing litigation matters from inception to resolution, including working with other functional groups, outside counsel, and vendors.
  • Receive, acknowledge, and distribute lawsuits and other legal matters served on Textron Aviation and its businesses, including process served on the company through CT Corporation, and routing new matters to the appropriate business and in-house attorney.
  • Maintain and update as necessary the Service of Process (SOP) distribution lists.
  • Coordinate the opening of new matters, assist in retaining outside counsel, generate and transmit documents to outside counsel, insurers, and third-party administrators, issue litigation holds, and set up electronic case files in Textron Aviation’s legal matter database, eDiscovery system, and billing system.
  • Direct the Company’s response to discovery requests by working with internal/external stakeholders to develop an efficient strategy for collecting and reviewing responsive information and ultimately finalizing discovery responses prepared by outside counsel and approved by in-house counsel.
  • Manage case files, including retention of case documents, and litigation calendars for such activities as witness interviews, preparation for deposition and trial testimony, and jury research projects.
  • Work with law firms to ensure timely case status reporting and budget submission, assist in managing outside counsel fees, and review invoices prior to attorney approval.
  • Respond to insurer inquiries regarding matter status and updates.
  • Coordinate the closure of matters upon resolution, including review of resolution documents, confirming payment of settlement funds, collecting final resolution documents, obtaining final invoices, closing matter in matter management and billing system, and releasing litigation hold.
  • Prepare monthly agenda for the insured claims meeting with Textron Aviation’s insurer.
  • Schedule various in-person and Teams meetings with internal and external participants.
  • On a monthly basis, update various reports with new open and closed matters.
  • Proactively assist non-litigation attorneys as necessary.
  • Conform supply chain agreements and amendments as needed.
  • Manage monthly reporting for Medicare Secondary Payer obligations.

EDUCATION:

An associate’s degree in Paralegal Studies, a Paralegal Certificate or Bachelor’s degree in related field required.

EXPERIENCE:

5 years of experience as a legal assistant, paralegal, or an administrative role supporting multiple individuals in a law firm or legal environment required.

Experience with litigation, including legal holds, discovery, witness development, and trial support.

Coursework/training in use of AI tools in legal and discovery context a plus.

Coursework in project management, legal studies, or information technology a plus.

Salary Range

The salary target for this role is $180,000 - $200,000. Final offer amounts depend on multiple factors including candidate experience and expertise, and most recent market data.   • Draft, review, and negotiate a wide range of commercial agreements including: MSAs and related SOWs, DPAs/BAAs, reseller and collaboration agreements, and data licensing.

At Okta, we’re building the next generation of authentication for the GenAI era. We’re looking for a Senior Software Engineer to join the AI Agentic Experience team at Auth0. This role is pivotal in extending and complementing our Auth for GenAI offering by building the infrastructure, tooling, and developer experiences that empower both human developers and AI agents to build secure, intelligent applications.

This is an ideal role for an engineer who enjoys building for other engineers, working across stacks, and shaping the future of AI enablement in production systems. You'll collaborate across engineering, product, and security teams to drive meaningful improvements in developer tooling, agent authentication, orchestration frameworks, and real-world demos.

What you will be doing:

  • Design and Build Developer Tooling that helps developers secure and manage infrastructure like MCP servers
  • Build Demo Applications that showcase secure, identity-powered AI use cases in real-world environments
  • Contribute to Open Source Projects , both within Auth0 and across the broader AI + identity ecosystem
  • Write and Maintain High-Quality Documentation including API references, quickstarts, and best practices for both developers and AI-native tooling (e.g., llm.txt)
  • Drive Integration with Emerging AI Frameworks by creating adapters, utilities, and interfaces for agent runtimes and orchestration layers
  • Collaborate with Design, Product, and Security teams to align on developer needs, roadmap direction, and compliance requirements
  • Mentor and Support Other Engineers , setting strong examples in code quality, testing practices, and architectural thinking
  • Influence Engineering Standards by leading design discussions and contributing to team-wide architectural decisions
  • Ensure Resilience and Security of systems involved in agent-to-agent or model-to-service communication

You Might Be a Good Fit If You

  • 5+ years of experience in software engineering with a proven track record in building tools, frameworks, or platforms for other developers
  • Proficiency in JavaScript/TypeScript, Golang and/or Python, and the ability to move fluidly between front-end and back-end contexts
  • Experience working with LLM APIs, agent runtimes, orchestration layers, or prompt pipelines
  • Familiarity with authentication and authorization systems, especially standards like OAuth2, OIDC, and JWT
  • Demonstrated experience leading architecture and design efforts for scalable, production-grade systems
  • Comfort contributing to and maintaining open source projects and engaging with developer communities
  • A passion for documentation as part of the developer experience—NOT just writing code, but making it understandable and usable
  • Ability to thrive in highly collaborative environments with cross-functional stakeholders
