Job Description

AbbVie is searching for an in-house Counsel for our Patent Prosecution group, part of AbbVie’s Intellectual Property, Transactions, and Innovation legal team. This position will support AbbVie’s pharmaceutical products and be based in our offices in North Chicago, IL, Waltham, MA, South San Francisco, CA, or Irvine, CA with a hybrid work model (on site 3+ days/week).

Acting individually and in cross-functional teams, the Counsel will develop and implement intellectual property strategies for AbbVie’s products and product candidates.

Responsibilities

  • Maximize AbbVie’s competitive position through creation and implementation of intellectual property strategies
  • Provide legal advice and counsel to cross-functional R&D and business teams on a variety of IP-related matters
  • Draft, file, and prosecute strategically useful patent applications worldwide both directly and through management of outside counsel
  • Challenge and defend patents in IPR, opposition, interference, and other post-grant proceedings
  • Conduct prior art searches, analyze third-party patent positions, and conduct due diligence to support business development activities

Qualifications

  • JD degree from an accredited law school, state bar admission enabling in-house practice (specific state not required), and registration to practice before the USPTO
  • 2+ years of experience practicing patent law as an attorney or patent agent at a law firm and/or life sciences company, including substantial U.S. and foreign patent prosecution
    • Experience with India, China, and emerging markets a plus
  • Technical background relevant for pharmaceutical patent prosecution, such as:
    • Experience with small molecule and/or biological pharmaceutical discovery & development, and/or
    • Technical degree in relevant field, such as molecular biology, biotechnology, biochemistry, biology, chemistry, chemical engineering, or biomedical engineering
  • Strong legal, analytical, communication, collaboration, and people skills
  • Demonstrated ability to manage complex projects to meet deadlines

About This Role

Crusoe is seeking a Legal Counsel – Finance and Corporate Development to join our team. Reporting to the Assistant General Counsel (AGC) – Finance and Corporate Development, this high-impact position operates at the intersection of corporate finance and strategic transactions. You will be a member of a lean, growing team and a trusted advisor on some of the company’s most consequential work, including major corporate- and project-level debt financings for a well-funded technology infrastructure company.

What You’ll Be Working On

About Lorum

The structural conflict at the centre of correspondent banking is not technological. It is economic. Banks earn revenue from their balance sheets: they lend deposits, capture FX spreads, and hold funds as long as it is rational to do so. Clearing, the act of releasing funds quickly and predictably, competes directly with those economics. An institution designed to lend has a structural incentive to hold deposits; an institution designed to clear has an incentive to release them. When one institution does both, clearing loses. The result is unpredictable settlement, trapped capital, and a correspondent network shrinking by design.

Why Lorum

Lorum was founded on a different premise: clearing as the business, not a byproduct. The model has been operational since 2023 and grew 55x in 2025, with USD clearing now the majority of volumes alongside a growing treasury offering. We have applied for a U.S. national trust bank charter. The people we hire now will build the clearing and treasury infrastructure it unlocks.

The role

Lorum National Trust Bank is standing up a trust and fiduciary business, and we need the person to lead it as our most senior fiduciary officer. This is a founding hire: you'll build a trust function that meets OCC supervisory expectations from day one, and you'll be hands‑on both designing it and running it in the early phase.

Day-to-day responsibilities

  • Lead the Bank's trust and fiduciary program: acceptance and administration of fiduciary accounts, prudent‑investor oversight, and periodic account review
  • Own the control framework for custody and safekeeping of client assets, both digital and traditional, including key management and segregation between fiduciary and non‑fiduciary custody
  • Represent the Bank's fiduciary function to the OCC: licensing, examinations, information requests, and remediation
  • Build and maintain the fiduciary policy suite, risk assessment framework, and conflicts‑of‑interest and self‑dealing controls, consistent with 12 CFR Part 9
  • Advise product, operations, and business teams on fiduciary and custody implications before launch; run account monitoring and issue remediation

Must Haves

  • 12+ years across trust, fiduciary, custody, legal, risk, or regulatory roles in US banking, trust banking, or custody/wealth‑management services
  • A track record in a senior fiduciary seat (Chief Trust Officer, Head of Trust, Senior Fiduciary Officer, senior trust counsel, or equivalent), title matters less than the track record behind it
  • Authoritative command of OCC supervisory expectations, 12 CFR Part 9, and fiduciary law, including the prudent‑investor standard, custody and safekeeping, and conflicts of interest
  • A record of designing or materially strengthening a trust or fiduciary function: policies, controls, risk assessments, account review, remediation

Legal Practice Systems (40%)

The Department oversees and performs facilities management, maintenance, operations, planning, design, renovation and construction of all campus buildings, utilities, and grounds. The interdisciplinary team of Facilities personnel, includes architects, engineers, project managers, asset managers, custodial, maintenance, utilities, and trades staff dedicated to creating and sustaining a campus that supports the mission of the College. The Department’s work supports the physical and natural environments necessary for the activities of faculty, students, alumni, visitors, and staff.

Advise Associate VP for Campus Planning and Operations and/or other levels of College administration on the status of all design and construction projects as required.
  • Facilitate interaction between Facilities Operations, Campus Sustainability, CSS, OIT, EHS and RM departments, clients, and other stakeholders, managers, supervisors, etc., during planning, design, construction, inspection and commissioning of renovation and new construction activities. Adopt best practices in building turn-over activities and transition of completed construction to operations.
  • Ensure that College facilities are designed and constructed compliant with fire and life safety codes, applicable building and energy codes, ADA requirements, regulatory and statutory requirements, sustainability best practices, Campus Design and Construction Standards, and College policies and practices. Establish appropriate rapport with local and state authorities-having-jurisdiction.
  • Consult with College clients and staff to identify needs and services and explore opportunities for project process improvement. Respond, in a timely and complete manner, to inquiries and concerns from College staff, faculty, students and public relative to services provided.

Required Qualifications

BASIC QUALIFICATIONS:

  • Bachelor’s degree in a technical field (engineering or architecture) or related to construction or project management or the equivalent. Advanced degree desirable.
  • Ten years of direct experience in planning, design, and management of major capital construction projects, including LEED certified buildings.
  • Familiarity with high performance building and landscape design, construction and standards.
  • Knowledge of utility systems, current energy efficient building systems, and energy conservation best practices.
  • Documented success in meeting budget and schedule targets. Ability to develop and maintain project budgets, cash flow projections, and schedules.
  • Experience with developing and implementing long-range capital and renewal programs in a higher education or similar setting.
  • Strong leadership and supervision skills and experience with at least 5-plus years of experience successfully managing a team of project management professionals with comparable project activity.
  • Conceptual thinker who is attentive to details.
  • Familiarity with Town, State, and Federal codes and ordinances.
  • Deep experience with understanding and managing architectural and construction contracts and knowledge of contract language and requirements.
  • Recent construction or construction management experience on projects of comparable scale and complexity.
  • Excellent communication skills and the ability to effectively communicate with all levels of management and other professionals. Ability to work with and align diverse constituencies and opposing interests.
  • Must have a LEED AP or LEED GA certification or the ability to obtain within 24 months of employment. Experience with other sustainability certifications desirable but not essential.

  • Proficiency with Microsoft Suite – Word, Excel, Project and other programs

Context of the Job

OGC attorneys have wide-ranging practices and must handle multiple, unrelated matters concurrently. All OGC attorneys report to the Vice President and General Counsel; on a day-to-day basis, attorneys are overseen by one of two Deputy General Counsel. This position will oversee the attorneys working on business, research, and transactional type matters.

The Deputy General Counsel is a member of OGC’s senior leadership team and serves as a key advisor to the Vice President and General Counsel. The successful candidate must be able to manage a team and a demanding practice concurrently, exercise sound and practical judgment, and communicate effectively with colleagues and clients. The candidate will be expected to handle complex matters and transactions from beginning to end with minimal supervision and to ensure the same standard across the transactional team.

Major Responsibilities

  • Serve as a strategic advisor to the Vice President and General Counsel, providing expert legal advice and practical solutions on business, research, and other transactional matters affecting the University and on the management and operations of the transactional practice.
  • In collaboration with the General Counsel, oversee the day-to-day work of the attorneys and professional staff handling the University’s transactional matters, including project allocation and prioritization, reviewing work product, identifying and providing training, mentoring, and contributing to performance assessments.
  • Provide legal advice and support on transactional matters for the University, including procurement, real estate, construction, and other University business and operational matters. This includes reviewing, negotiating, drafting, advising, and managing documentation related to these areas.
  • Handle and oversee complex commercial contracts and transactions (e.g., business agreements, agreements related to public-private partnerships, joint ventures, and agreements governing large gifts).
  • Oversee legal support for research-related agreements, intellectual property licensing and technology transfer, software and information technology agreements, and healthcare-related transactions and affiliations.
  • Assist clients in developing processes, documents, and templates to optimize business approaches and improve the efficiency and consistency of the University’s contracting.
  • Assert, respond to, and resolve commercial disputes (but not including representing the University in litigation or arbitration of such disputes), and engage and manage outside counsel on transactional matters as needed.
  • Safeguard the University’s immediate and long-term interests by ensuring compliance with University policies as well as federal, state, and local laws and regulations.
  • Collaborate with University officials, offices, and departments to develop and deliver legal education and support to the University of Delaware community, including training on contracting authority and transactional processes.
